1. Purpose of This Agreement

This Agreement governs the safe, professional, and controlled use of Contractor-operated equipment on the Customer's property. It is designed to protect people, property, and equipment, and to clearly define responsibilities before work begins.

All equipment rentals include a trained operator. This is not a self-operated rental.

2. Equipment Covered

This Agreement applies to the following machines and any approved add-on attachments selected during booking:

• Toro Dingo TX1000 Mini Skid Steer (with approved attachments)
• Hyundai Robex 35 Z.9 Mini Excavator (with approved attachments)

Attachments may include, but are not limited to: buckets, augers, trenchers, forks, grading tools, or other specialty implements offered by the Contractor.

Only equipment and attachments listed on the invoice or booking confirmation are authorized for use.

3. Operator Authority & Jobsite Control

• Only the Contractor's operator may operate the equipment at any time.
• The Customer may provide general direction regarding goals or layout, but may not direct how the equipment is operated.
• The Contractor retains full authority to determine safe operation methods, access routes, and work sequencing.

If unsafe conditions exist, the Contractor may pause or stop work immediately.

4. Safety & Work Stoppage

Safety is the highest priority. Work may be stopped or rescheduled if any of the following are present:

• Unsafe site conditions
• Inadequate access or clearance
• Unmarked or undisclosed utilities
• Weather conditions that make operation unsafe

Minimum charges may still apply when stoppages are outside the Contractor's control.

5. Access, Site Conditions & Customer Responsibilities

The Customer is responsible for:

• Providing clear access for equipment (driveways, gates, overhead clearance)
• Disclosing known site hazards, underground features, or private utilities
• Removing obstacles that prevent safe operation

Normal turf disturbance, soil displacement, and surface wear are expected outcomes of equipment use and do not constitute damage.

6. Utilities & MISS DIG (811)

• The Contractor will request MISS DIG (811) for public utility locates when ground disturbance is involved.
• MISS DIG covers public utilities only.
• The Customer is responsible for identifying private utilities (sprinklers, drains, electrical, gas, etc.).
• The Contractor is not liable for damage to undisclosed or unmarked private utilities.

7. Damage Responsibility

The Contractor is responsible only for damage caused by operator negligence. The Contractor is not responsible for damage resulting from:

• Undisclosed site conditions
• Hidden or private utilities
• Soil instability
• Pre-existing defects

8. Changes, Additional Work & Scope Adjustments

• Any work outside the originally agreed scope requires written or email approval (email acceptable).
• Unapproved additional work will be billed at standard rates.
• The Contractor may decline additional work that creates scheduling conflicts.

9. Scheduling, Delays & Rescheduling

• Scheduled dates are reserved specifically for the Customer.
• Weather, site conditions, or utility conflicts may require rescheduling.
• Cancellations with less than 24-hours notice may result in a cancellation fee.

10. Insurance & Liability

• The Contractor maintains general liability insurance.
• Liability is limited to direct damages up to the contract value.
• The Contractor is not liable for consequential or incidental damages.
• The Customer agrees to indemnify the Contractor for claims arising from undisclosed hazards, private utilities, or third-party actions.

11. Equipment-Specific Operating Rules

Toro Dingo TX1000

• Designed for tight-access, surface-level, and material handling work
• Not intended for deep excavation or unsupported trenching
• Attachments must be approved and installed by the Contractor

Hyundai Robex 35 Z.9 Mini Excavator

• Designed for trenching, drainage, and structural work
• Requires additional clearance and stable ground conditions
• Swing radius and digging depth require controlled access zones
• The Contractor determines which machine is appropriate for the work

12. Yard Restoration & Finish Conditions

• Normal turf disturbance is expected during equipment operation
• Optional yard restoration services are available upon request and billed separately
• Restoration is not included unless explicitly stated in writing

13. Payment & Deposits (Summary Only)

• A deposit is required to reserve a scheduled date
• Remaining balance is due upon job completion
• Pricing details are governed by the booking confirmation and invoice

14. Governing Law

This Agreement is governed by Michigan law, with venue in Washtenaw County, Michigan.

15. Acceptance of Terms

By proceeding with booking and signing digitally, the Customer acknowledges:

• Operator-only equipment use
• Safety-first jobsite control
• Responsibility for site conditions and disclosures
• Acceptance of all terms above
